Terms of Service

1. Introduction and Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the services, software, and websites operated by SotaProxy (“SotaProxy”, “we”, “us”, or “our”), including the proxy network, dashboard, APIs, and any related tools (collectively, the “Services”).

By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Services

SotaProxy provides proxy network services including residential proxies, ISP proxies, datacenter proxies, and mobile proxies. Our network routes your internet traffic through third-party IP addresses to help with web scraping, data collection, privacy, ad verification, and similar legitimate purposes.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes.

3. Account Registration

To use the Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Be responsible for all activity that occurs under your account

You may not create more than one account without our prior written consent, nor transfer your account to another party without our approval.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to:

  • Engage in or facilitate any illegal activity under applicable laws
  • Conduct or distribute spam, phishing, or unsolicited commercial communications
  • Launch denial-of-service (DoS), distributed denial-of-service (DDoS), or other attacks against any systems or networks
  • Gain unauthorized access to systems, networks, or data
  • Violate the terms of service, terms of use, or policies of any third-party website or platform you access through our Services
  • Collect personal data without proper consent or in violation of applicable privacy laws
  • Distribute malware, viruses, or other harmful software
  • Violate the intellectual property rights of third parties
  • Harass, abuse, or harm individuals
  • Access or scrape websites in ways that damage, disable, or overburden them

We reserve the right to suspend or terminate your access immediately if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

5. Payment and Billing

Certain aspects of the Services require payment. By selecting a paid plan, you agree to pay all applicable fees as described on our pricing page. All prices are in US dollars unless otherwise stated.

  • Subscription plans are billed on a recurring basis (monthly or annually) and renew automatically until cancelled.
  • Pay-as-you-go plans charge you for actual bandwidth or request volume consumed.
  • Fees are non-refundable except where required by law or as explicitly stated in our refund policy.
  • We reserve the right to change pricing with at least 30 days’ notice to current subscribers.
  • If payment fails, we may suspend your account until payment is received.

6. Intellectual Property

All content, software, technology, trademarks, logos, and materials that are part of the Services are owned by or licensed to SotaProxy and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included software without prior written permission.

You retain ownership of any content you submit to us. By submitting content, you grant us a limited, non-exclusive license to use that content solely to provide and improve the Services.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOTAPROXY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

9. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard. We may terminate or suspend your account at any time, with or without cause, with or without notice.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless SotaProxy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice within the Services. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of those changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with generally accepted principles of international commercial law. Any disputes shall be resolved through binding arbitration conducted in English. Nothing in these Terms shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction.
